These Terms of Service ("Terms") govern your access to and use of our website, products, and services, including but not limited to AI-powered music creation, music distribution tools, and influencer monetization programs (collectively, the "Services").
By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, please do not use the Services.
These Terms are governed by and construed in accordance with the laws of the United States, without regard to its conflict of law principles.
1. Overview of Services
Our platform provides the following core services:
1.1 AI Music Creation via Humming or uploading
Users can generate original songs by humming or uploading audio. The AI will process melodies and produce complete music tracks, optionally guided by user-selected styles, lyrics, tempo, and genres.
1.2 Music Promotion for Artists
Music creators may upload their original songs to our platform and choose to promote them through our promotional credit system. Promoted content will receive increased visibility across the platform and affiliated influencer networks.
1.3 Free Music Library for Influencers
Verified influencers can access our royalty-free music library to use in their videos, livestreams, or social content without paying additional licensing fees.
1.4 Licensed Music & Revenue Sharing
Influencers may also choose tracks labeled as "Licensed Songs (For Monetization ONLY)" and earn a revenue share based on performance metrics such as video views or plays. All sharing policies are governed by the platform's current monetization terms.
2. User Eligibility
To use our Services, you must:
·Be at least 18 years old or the minimum legal age in your jurisdiction. If you are under 18, you must have parental consent to use the Services.
·Provide accurate and complete registration information.
·Be legally capable of entering into binding contracts.
3. Account Creation and Management
· You are responsible for maintaining the confidentiality of your account and password, and for all activities that occur under your account.
·You agree to provide accurate, current, and complete information when registering for an account and to keep your account information updated.
·If you suspect any unauthorized access to your account, you should notify us immediately.
4. User Content and Intellectual Property Rights
·You retain ownership of any content that you upload, generate, or post on the Platform, including music files, lyrics, and related data (collectively, “User Content”).
·By uploading or generating content on our Platform, you grant us a worldwide, non-exclusive, royalty-free license to use, display, and promote your content in connection with the Services.
·You agree that your User Content does not infringe upon the intellectual property rights of third parties and that you have all necessary rights to upload or generate such content.
5. Music Promotion and Monetization
·Promotion: Music creators may pay for promotional credits to increase exposure of their music on our platform.
·Payment Terms: Payment for revenue sharing will be processed monthly, and payouts are subject to the platform’s payment thresholds and eligibility criteria.
6. Prohibited Conduct
You agree not to:
· Upload or generate content that is infringing, illegal, defamatory, offensive, or violates the rights of others.
·Use the Services for any unlawful or fraudulent activities.
·Attempt to reverse engineer or tamper with our systems or the functionality of the Platform.
·Impersonate others or misrepresent your identity or affiliation with any person or entity.
7. Privacy and Data Protection
·Your use of our Services is also governed by our Privacy Policy, which explains how we collect, use, and store your information.
·By using our Services, you consent to the collection and use of your personal data as described in our Privacy Policy.
8. Termination
·We reserve the right to suspend or terminate your access to the Platform if you violate any of these Terms or if we believe that you have engaged in any illegal, fraudulent, or inappropriate behavior.
·You may terminate your account at any time by following the termination process on the Platform. Upon termination, we will remove or disable your account, and you will no longer have access to the Services.
9. Limitation of Liability
·To the fullest extent permitted by applicable law, Humify will not be liable for any indirect, incidental, consequential, special, or punitive damages arising from your use or inability to use the Services.
·In no event will our total liability exceed the amount you have paid to us in the last 12 months for the Services in question.
10. Indemnification
You agree to indemnify and hold Humify, its affiliates, officers, employees, and agents harmless from any claim, damage, loss, or liability (including attorney fees) arising out of your use of the Services, violation of these Terms, or infringement of any intellectual property or other rights of any third party.
11. Dispute Resolution and Governing Law
· These Terms are governed by and construed in accordance with the laws of the United States of America.
·Any dispute, controversy, or claim arising out of or in connection with these Terms will be resolved through binding arbitration in the jurisdiction where Humify is located, and you agree to waive any right to a trial by jury.
12. Changes to Terms
We reserve the right to update these Terms at any time. Changes will be posted on this page, and the revised version will be effective immediately upon posting. We recommend that you review these Terms periodically.
